Welcome to the Solyte Bio website, owned and operated by Solyte Bio LLC (“Solyte Bio,” “we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your access to and use of our website (“Site”) and all purchases made through it. By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, you must not use this Site or purchase any products from it.
1. Research Use Only
All products offered by Solyte Bio are sold exclusively for qualified institutional and laboratory research purposes. Our compounds are not approved by the U.S. Food and Drug Administration (FDA) and are not intended for diagnostic, therapeutic, or medical use.
Under no circumstances may Solyte Bio products be used for human or veterinary consumption, application, or administration. This includes, but is not limited to:
- Ingestion or injection
- Inhalation or topical application
- Incorporation into food, supplements, drugs, or cosmetics
Any representation or use of Solyte Bio products for purposes other than approved research is a violation of these Terms and may result in account termination and notification to authorities.
Solyte Bio reserves the right to refuse or cancel any order if there is reason to believe a purchaser is misrepresenting their intent, not affiliated with a qualified research organization, or attempting to use products outside their lawful scope.
2. Eligibility and Restrictions
To purchase from Solyte Bio, you must:
- Be at least 21 years of age
- Be affiliated with a laboratory, academic institution, or research organization
- Have the legal authorization to receive and handle restricted research materials in compliance with applicable laws
By placing an order, you affirm that you and your organization are qualified to store, study, and dispose of materials responsibly. Unauthorized or unsafe use of any Solyte Bio product constitutes a breach of these Terms.
3. Consideration and Agreement
You acknowledge that these Terms are supported by valid consideration, including the right to purchase from and access Solyte Bio’s research platform. By accepting these Terms, you represent that you are legally capable of entering into this agreement, and if acting on behalf of an entity, that you have the authority to bind that entity.
4. Domestic Sales Only
Solyte Bio currently ships only within the United States. International orders are not accepted. By placing an order, you confirm that the shipping address provided is a valid U.S. address associated with a qualified research institution. Orders with unverifiable or international addresses may be canceled.
5. Payment and Verification
We accept major credit and debit cards, ACH transfers, Zelle, and cryptocurrency. Orders are processed only after payment has been successfully received and verified.
Solyte Bio reserves the right to verify purchaser identity, payment details, institutional affiliation, and research intent before processing or shipping any order. Suspicious or noncompliant activity may result in delay, cancellation, or restriction of future orders.
All transactions must be made in U.S. dollars (USD).
6. Shipping and Risk of Loss
Most verified orders ship within one business day. Once a shipment is accepted by the carrier, risk of loss transfers to the purchaser. Solyte Bio is not liable for carrier delays, damage, or misdelivery but will assist in resolving such issues where feasible.
Customers are responsible for providing accurate shipping information. Packages lost or misdelivered due to incorrect addresses provided at checkout are not the responsibility of Solyte Bio.
7. Returns and Refunds
Returns are accepted only if:
- The product is unopened, unused, and in its original packaging
- A return authorization is requested within 7 days of delivery
Products returned without prior authorization or not in original condition may be refused or destroyed without refund.
Refunds are processed to the original payment method after inspection. Shipping costs are non-refundable, except in cases where the return is due to a Solyte Bio error. Defective or incorrect shipments must be reported within five business days of receipt.
8. No Warranties and Limited Liability
All Solyte Bio products are provided “as is” and “as available”, without any warranty—express or implied—including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
Solyte Bio makes no guarantees regarding the accuracy, stability, or suitability of any product for a specific research outcome.
In no event shall Solyte Bio be liable for indirect, incidental, punitive, or consequential damages, including but not limited to loss of profits or research data, arising from product use or misuse. Our total liability shall not exceed the purchase price of the product in question.
9. Indemnification
You agree to indemnify, defend, and hold harmless Solyte Bio, its affiliates, employees, and partners from any claims, damages, or expenses (including attorney fees) arising from:
- Breach of these Terms
- Improper use of products
- Violation of any applicable laws or regulations
10. Intellectual Property
All content and materials on the Site—including logos, product data, images, graphics, and software—are the exclusive property of Solyte Bio and are protected by copyright, trademark, and intellectual property laws.
You may not copy, reproduce, modify, or distribute any content without prior written consent from Solyte Bio.
11. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of Idaho, without regard to its conflict of law principles. Any disputes arising under or in connection with these Terms shall be resolved in the state or federal courts located in Boise, Idaho, and you consent to the jurisdiction of those courts.
12. Amendments and Enforcement
Solyte Bio reserves the right to modify or update these Terms at any time. Updates will be posted on this page with a revised date. Continued use of the Site following changes constitutes your acceptance of the updated Terms.
If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect.
